Welcome to HRV. The https://www.hrv.co.nz website (the “Site”) is owned, operated and provided by Cristal Air International Limited, trading as “HRV” (“HRV”, “we” or “us”).

By accessing, downloading, using, shopping on or browsing the Site you accept and agree to be bound by these terms of use (“Website Terms”). In these Website Terms any person who accesses the Site is referred to as “you” or “your“. If you do not agree to these Website Terms you should stop using the Site.

In addition, if you shop online for consumables (for example, filters) or individual, spare parts (for example, ducting) for your HRV products then these Website Terms apply together with our Online Sales Terms and our Returns and Refunds Policy.

If you shop with us through our in-person sales team for the purchase and installation of an HRV system then our Terms and Conditions of Sale apply instead.

Changes to these Website Terms

We may change these Website Terms at any time without notice to you by updating them on the Site. The revised terms will take effect when they are updated on the Site and your continued use of the Site means you agree to the revised terms.

This is a New Zealand site

The Site is intended to be used by people in New Zealand only. If you access the Site from outside New Zealand, you will be responsible for compliance with local laws. New Zealand law governs the Site, these Website Terms and any purchase that you may make on the Site and the New Zealand courts have exclusive jurisdiction.

Your use of the Site

You agree that you will not:

use the Site for any unlawful purpose;
disrupt or interfere with the Site or servers or other software, hardware or equipment connected to or via the Site;
introduce any viruses, trojan-horse type programs, malware or any other material that is malicious or technologically harmful to the Site;
copy, reproduce, reverse-engineer, decompile, disassemble, resell, distribute, link to, or modify any part of the Site without our written consent (and, where relevant, the consent of our service providers), except to the extent expressly permitted by law;
create a link to the Site from any other website without our prior written consent; or
use the Site other than as specifically permitted by these Website Terms, the Online Sales Terms or the Returns and Refunds Policy.

You must comply with all third party licensors’ and service providers’ terms of use (for example, software providers and network service providers) when accessing and using the Site.

The above terms are also for the benefit of our licensors and service providers.

Orders and contracts

We only sell consumables and individual, spare parts for our products on the Site. If you would like to buy and have installed an HRV system (for example, a ventilation system) then please get in touch with our in-person sales team.

You do not need to create an account to be able to place an order with us. All orders will be placed and processed without needing any account.

We do our best to keep the Site up to date, but prices and product features listed on the Site may not be current or complete. Therefore, the information presented on the Site (including product pricing) is an invitation to treat and not an offer by us to supply goods to you. If you place an order using the Site then that is a binding offer from you to us, which we may accept in accordance with our Online Sales Terms.

Any contract for supply that is formed between us is subject to our Online Sales Terms and our Returns and Refunds Policy.

Intellectual property

We, or our licensors or service providers, own all content and other materials available on, or generated by, the Site (“Content”). The Content is protected by copyright, trade marks or other intellectual property rights and laws. We grant you a perpetual, non-exclusive, royalty-free licence to use the Content for your own reasonable private and non-commercial use only.

You own the intellectual property rights in any data provided by you (“Your Data”). You are solely responsible for the legality, reliability, integrity, currency, accuracy and quality of Your Data. You grant us and our licensors or service providers a non-exclusive right to use Your Data to provide any services on the Site or as otherwise expressly permitted by you (including in the event that you place an online order with us). Where Your Data is personal information, we will manage it according to the provisions set out below in the section titled “Personal Information”.

Personal information

We recognise the importance of keeping your personal information safe. In order to deliver our services, we need to collect accurate personal information about you, including identity and contact information and other information about your use of the services.

You agree that all personal information you give to us when registering or using the Site or our services is true, accurate, up to date, complete and not false, misleading or deceptive in any material way.

We have explained the way we use and disclose your personal information (including information derived from cookies and location information) collected by HRV in our HRV Privacy Statement. By using the Site or our services, you agree that we may collect, hold, process, use and share your personal information in accordance with that Privacy Statement.

Cookies

We, or our licensors or service providers, may use cookies to track your use of the Site to help us deliver and improve the Site. A cookie is a small piece of data that a website sends to your browser that may be stored on your system.

We, our licensors or service providers, may use the information generated by cookies to track traffic patterns to and from our Site, including information like the pages you visit, the time you spend on each page, the date and time of your visit, and referring pages (pages you came from or go to).

You can disable your browser from accepting cookies but then some of the Site may be unavailable if you choose to do this. By using the Site, you consent to us storing and accessing cookies on your device in connection with your use of the Site.

Analytics Tools

We, our licensors or service providers, use various web and / or email analytics tools to collect information about your use of our Site. The information we, our licensors or service providers collect through the use of such analytics tools may be information about you (e.g. services that you engage with) or anonymous information (e.g. the number of visitors per day or the average amount of time spent on the Site). By accessing and using our Site, you consent to our and their use of such analytics tools to collect information about your access to and use of the Site.

Links to other sites

The Site may contain links to other sites that we do not control. These links are provided for your convenience only. We make no representations about the accuracy of information or the quality of products and services found on any linked site. We will not be responsible for the content of any of those sites or for any loss or damages suffered as a result of you using any linked sites.

Information and tools on the Site

The Site may include images of goods. While every effort is made to ensure that the information on the Site about our goods is as accurate as possible, some actual goods may differ to a small extent in their function and / or visual appearance compared to what is indicated on the Site.

The Site may also include information, advice or data, including calculators, estimators, or other tools (collectively, “Tools”). Such Tools are not intended to substitute your own judgment or any advice provided by your own professional advisors. All Tools are supplied under the condition that you will make your own judgment, and where appropriate you will seek independent advice, as to whether they are suitable for your purposes before you use them or rely on them, including for the purposes of making a purchase on the Site.

You acknowledge that the Tools are for information purposes only, and that any assumptions used and figures generated are for purposes of general illustration and reference only and depend on a variety of factors which may not apply to your unique situation. You must not use, or rely in any way on, the Tools in a way which could make us liable to you or any third party.

Changes to the Site

We or our service providers can, at any time and for any reason, make changes to (including adding and removing) the functionality, format, Content, means of access, or operating system specification for, the Site (or part of them), without notice to you and you shall comply with all our reasonable instructions in relation to any changes to the Site. We will use reasonable efforts to ensure that any updates to the Site do not cause any problems to your use of the Site. Our liability to you if any such problems arise is limited by these Website Terms.

Our liability is limited

Except as may be separately set out in our Online Sales Terms or Returns and Refunds Policy, to the extent permitted by law we are not liable for any loss, damage or cost (whether direct or indirect) incurred by you as a result of:

your use of, or your inability to use, the Site;
your reliance on and use of the Tools, any data or information generated by using the Tools or on the Site, or the materials in any sites linked to the Site;
any fault or error of the Site; or
any modification, discontinuance or restriction of the Site,

even if we (or our authorised representative) have been advised of the possibility of such loss, damage, cost or expense. Except as may be separately set out in our Online Sales Terms or Returns and Refunds Policy, to the extent that liability cannot be excluded, our liability is limited to $50.

Your responsibility if you breach these Website Terms

Your liability for any breach of these Website Terms is limited to $50 but this limit does not apply to any losses, damages and costs (whether direct or indirect) incurred by us as a result of your wilful breach of any of these Website Terms, fraud, breach of any intellectual property rights, or breach of any applicable law.

Third party rights

The Website Terms that give rights to our service providers or licensors are for the benefit of, and are enforceable by, our service providers or licensors under the Contract and Commercial Law Act 2017, Part 2, Subpart 1 (and its successive legislation).

Online Sales Terms

Cristal Air International Limited, trading as “HRV” (“HRV” or “we”) is pleased to provide you (“you”) with the option to buy goods from us online.

We sell consumable goods (for example, filters) and individual, spare parts (for example ducting) for our HRV products on our website. Any goods that are ordered and purchased from our website are subject to these online sales terms (the “Online Sales Terms”), along with our Website Terms of Use and our Returns and Refunds Policy. If there is any inconsistency between those sets of terms and conditions then the order of precedence shall be (i) Online Sales Terms, (ii) Website Terms of Use, and (iii) Returns and Refunds Policy.

By using our website to place an order you agree to all of the applicable terms and conditions.

If you shop with us through our in-person sales team then our Terms and Conditions of Sale, and not these Online Sales Terms, apply.

Goods

We make every effort to ensure that product images and information on our website are as accurate as possible. However, some actual goods may differ to a small extent in their function and / or visual appearance (for example, in colour) compared to what is indicated on our website and information provided (including pricing) may occasionally not be correct.

We also make reasonable efforts to ensure that our website reflects actual stock availability. However, you acknowledge that stock availability is subject to change. We will notify you by email if we are unable to supply any goods that you have ordered.

Orders and Contracts

You do not need to create an account to be able to place an order with us. All orders will be placed and processed without needing an account.

Our website and the information on it (including pricing information) is an invitation to treat (and so is not legally binding). Any order that you place is a legally binding offer from you to purchase goods from us. We are bound to supply you with goods only once we have:

Processed your payment in full (refer below for the terms that apply to your payment); and
Sent you an order confirmation by email.

HRV reserves its right to accept or reject your order in full or in part for any reason, including product availability, your order being incomplete or there being errors in the price, description or product information shown on our website. We will inform you by email if we reject any part of your order.

Pricing and Payment

All prices listed on our website are in New Zealand dollars and include GST, but do not include delivery, handling or other charges. These additional charges will be calculated and displayed at the checkout before you complete your order.

Prices are subject to change without notice and may be changed at any time before you have paid in full.

You must pay for all orders placed on our website at the time that you place the order. We accept all of the payment methods listed at the checkout on our website.

Any discounts or promotions are valid for a limited time only, are subject to availability and are subject to their own terms and conditions.

Your payment information will be processed by us (or our third-party agents). Your payment information is secured using encryption and other security measures. We do not store your payment details on our servers.

Title and Risk

Title passes from us to you when (i) you have paid for the goods in full, and (ii) the goods have been delivered to your nominated delivery address.

Risk passes from us to you when the goods have been delivered to your nominated delivery address.

Delivery

Delivery charges vary based on the destination and the size and weight of the item. These charges will be calculated and displayed at the checkout before you complete your order.

Estimated delivery times will be provided at checkout based on your location. (Though not a guarantee of the time required for processing and dispatch) orders are typically processed and dispatched within 2-3 business days. You will receive a dispatch confirmation email with tracking information once your order has been dispatched.

Returns and Refunds

The return of, and refunds for, goods purchased from our website is subject to the terms of our Returns and Refunds Policy.

Warranties and Liability

The Consumer Guarantees Act 1993 (the “CGA”) and the Fair Trading Act 1986 (the “FTA”) apply to all of the goods that we sell. If anything in these Online Sales Terms would limit a liability that cannot be excluded under those statutes then these Online Sales Terms are deemed to be modified to the extent necessary to give effect to the relevant statutory guarantees.

However, if you are purchasing goods for the purposes of a business, then:

to the extent permitted by law you agree that the statutory guarantees in the CGA do not apply to your order; and
you agree that you have not relied upon any representations, warranties or information that is not set out in your order.

In addition to any statutory guarantees that may apply to you, our website lists the HRV product warranties that apply to (i) the systems, and (ii) some of the individual, spare parts, that we sell.

The HRV product warranties that apply to the systems that we sell generally require that you regularly change the consumables (such as filters) in, and / or service, your system. This requirement continues to apply if you purchase consumables or individual, spare parts from our website and choose to install them yourself. If a fault occurs and that fault is caused by either (i) a lack of servicing, (ii) a failure to make (or to correctly make) recommended consumables changes, or (iii) by your negligence, then our product warranty will not apply to your system.

To the greatest extent possible under New Zealand law, neither we nor you are liable for (i) any indirect, special, incidental, or consequential damages, nor (ii) in each case whether direct or indirect, any loss of profits, loss of revenue or production, loss of use, loss of contract or loss of anticipated savings, arising out of your purchase of goods from our website.

Privacy

In order to provide goods to you we will collect your personal information (e.g. your name, address, etc) as part of the sales process. All personal information that you provide during a sales process will be collected, held, processed, used and shared in accordance with the HRV Privacy Statement.
